Terms of Service

By accessing or using Fluxus Forge's lending infrastructure platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

Fluxus Forge provides a software-as-a-service (SaaS) lending infrastructure platform that includes:

• Loan Origination System (LOS)
• Loan Management System (LMS)
• Collection Management Suite
• API Integration Hub
• Compliance and Reporting Tools
• AI/ML Decisioning Engine

To use our Platform, you must:

• Be a registered business entity in India
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Be responsible for all activities under your account

4.1 Fees

Subscription fees are based on your selected plan and usage. All fees are exclusive of applicable taxes unless otherwise stated.

4.2 Payment Terms

Payments are due as per your subscription agreement. We reserve the right to suspend services for overdue payments after providing reasonable notice.

4.3 Refunds

Refunds are provided as per the terms of your service agreement. Implementation fees are non-refundable once work has commenced.

You agree to:

• Use the Platform in compliance with all applicable laws and regulations
• Maintain all necessary licenses and registrations (including RBI registration for NBFCs)
• Ensure accuracy of data entered into the Platform
• Not use the Platform for any unlawful or fraudulent purposes
• Not attempt to reverse engineer or compromise Platform security
• Comply with RBI Digital Lending Guidelines and other applicable regulations

Your use of the Platform is also governed by our Privacy Policy. You acknowledge that:

• You are responsible for obtaining necessary consents from your customers
• We process data as per RBI data localization requirements
• You retain ownership of your business data
• We may use anonymized, aggregated data for platform improvement

All Platform technology, features, and content are owned by Fluxus Forge. You receive a limited, non-exclusive license to use the Platform for your business purposes during your subscription period.

We provide a 99.9% uptime SLA for our Platform. Scheduled maintenance windows are excluded. Service credits are available for verified downtime as per your subscription agreement.

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to fees paid in the 12 months preceding the claim
• We are not responsible for losses arising from your lending decisions
• Third-party integration failures are not covered under our liability

You agree to indemnify and hold harmless Fluxus Forge from claims arising from:

• Your violation of these Terms
• Your lending operations and customer disputes
• Regulatory non-compliance on your part
• Unauthorized use of your account

Either party may terminate the subscription as per the notice period in your agreement. Upon termination, we will provide reasonable data export assistance. Your data will be retained for the legally required period.

We may modify these Terms with 30 days' notice. Material changes will be communicated via email. Continued use after the notice period constitutes acceptance of modified Terms.

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Delhi, India.
